Replicant AD Terms of Service

Welcome to Replicant AD ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, applications, products, and services (collectively, the "Services").

By accepting these Terms, you (& your parent/guardian) agree to abide by these rules, including limits on Replicant AD’s liability to you, rules for in-game content, arbitration of disputes, and Replicant AD’s right to amend these Terms and terminate Replicant AD games accounts. 1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you can form a binding contract with Replicant AD, that you accept these Terms, and that you agree to comply with them. If you are using the Services on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

Replicant AD provides game software and solutions. We reserve the right to modify, suspend, or discontinue the Services (or any part or content thereof) at any time with or without notice to you.

3. User Accounts and Registration

To access certain features of the Services, you may be required to register for an account.

Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Security: You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct and Acceptable Use

You agree not to use the Services to:

Violate any local, state, national, or international law or regulation.
Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
Transmit any viruses, malware, or other malicious code.
Attempt to gain unauthorized access to our systems, user accounts, or networks.

6. User Content

If you post, upload, input, or submit content to the Services ("User Content"), you grant Replicant AD a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, and display that User Content in connection with the operation of the Services. You represent and warrant that you own or have the necessary rights to use and authorize the use of your User Content.

7. Third-Party Links and Services

Our Services may contain links to third-party websites or services that are not owned or controlled by Replicant AD. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLICANT AD, INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPLICANT AD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

10. Indemnification

You agree to defend, indemnify, and hold harmless Replicant AD and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, or b) a breach of these Terms.

11. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Services will immediately cease.

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the Last Updated date. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
